At StartupsFiling, we are deeply committed to protecting the confidentiality of Client data and implementing robust Information Security Management. Below are the key terms of our Confidentiality Policy, which apply to all clients who engage our services.

Key Elements of Our Commitment

  • We do not share any details related to our Clients with external third parties.
  • We will not use our Clients' brand names, logos, or public identity for promotional or marketing activities without obtaining prior written approval.
  • We never reveal Client names or project descriptions to prospective clients for sales or marketing purposes.
  • We will never trade, sell, or rent Client lists or individual Client data to third-party entities.

Confidentiality Agreement

It is understood and agreed that a StartupsFiling Client may share proprietary or sensitive details that must be kept secure. To preserve the secrecy of this data and protect any associated rights under patent or trade secret laws, both parties agree to the following:

  1. Scope of Confidential Information: The protected data covers all shared invention details, technical or business concepts, patentable ideas, drawings, illustrations, research results, market and competitive studies, product roadmaps, pricing structure, profit margins, financial records, budget projections, customer records, promotional strategies, and business models, whether or not marked as "Confidential Information" at the time of sharing.
  2. Limited Internal Access: StartupsFiling will restrict the internal distribution of Confidential Information solely to those directors, officers, partners, team members, and independent contractors (collectively referred to as "affiliates") who need to know the information to perform services. StartupsFiling and its affiliates will maintain the privacy of this information and will not disclose it unless mandated by legal authorities.
  3. Exclusions: These confidentiality obligations do not apply to any information that:
    • was already in the possession of StartupsFiling prior to receiving it from the Client;
    • becomes publicly available or known through no fault or breach of contract by StartupsFiling;
    • is legally obtained by StartupsFiling from a third party who does not owe a duty of secrecy to the Client;
    • is shared with third parties by the Client or with the Client's explicit authorization;
    • is already in the public domain; or
    • is independently created and developed by StartupsFiling without referencing the Client's information.
  4. Entirety of Agreement: This policy represents the full and final understanding between StartupsFiling and the Client concerning the handling of Confidential Information. Any edits or additions to this agreement must be documented in writing and signed by both parties.
  5. Severability: Should any clause in this policy be declared invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid clause will be modified to the minimum extent necessary to make it legally binding.
  6. Accountability: You are fully responsible for any consequences, damages, or losses that we may experience, directly or indirectly, as a result of unauthorized activities or policy violations conducted by you, which may also expose you to civil or criminal prosecution.
